End-User License Agreement

This End-User License Agreement (“EULA”) is between SmileMaxer LLC and the person or practice using the PerioMaxer mobile apps, the SmileMaxer office-desktop software, and the standalone or Office Linked capabilities they provide (together, the “Software”).

1. License grant

Subject to any applicable App Store license, active trial or paid subscription, and compliance with this EULA, SmileMaxer LLC grants the user or subscribing practice a limited, non-exclusive, non-transferable, revocable license to install and use the Software for periodontal record-keeping. Office Linked subscription use is limited to the one physical practice location covered by the plan.

The Software is licensed, not sold.

2. Plan limits

Installation and use are limited by the plan’s registered-mobile-device, location, and simultaneous-session limits. An active seat means one simultaneous charting session, not a named person or fixed public IP address.

The practice may revoke and replace registered mobile devices through the account portal, subject to the applicable plan limit.

3. Restrictions

You may not:

  • register mobile devices, use physical locations, or run simultaneous charting sessions beyond the purchased plan;
  • copy or distribute the Software except for authorized practice installations;
  • reverse-engineer, disassemble, decompile, or derive source code except where applicable law expressly permits;
  • modify or create derivative works of the Software;
  • remove proprietary notices or bypass licensing, update verification, pairing security, or other technical controls;
  • rent, sublicense, resell, or provide the Software as a service to another practice without written permission.

4. Updates

The Software may check for signed updates from the SmileMaxer cloud service. Some updates may be required for security, protocol compatibility, PMS compatibility, or legal reasons. Continued use may depend on installing a required update.

5. Local system access

On Windows, the practice authorizes the office-desktop Software to interact with the PMS and operating-system input controls selected during setup. The practice is responsible for ensuring it has the right to use its PMS, workstation, local network, and configured automation workflow in this manner. The Mac companion supports pairing, session preview, and dry-run and does not write to a PMS.

6. Record-keeping tool

THE SOFTWARE RECORDS AND TRANSFERS VALUES ENTERED BY A DENTAL PROFESSIONAL. IT DOES NOT DIAGNOSE, INTERPRET CHARTED VALUES, RECOMMEND TREATMENT, OR REPLACE PROFESSIONAL REVIEW OF THE OFFICIAL RECORD.

Voice recognition and network transfer can produce errors. Windows automated entry can also produce errors. When PMS entry is used, the dental professional must verify every entry in the PMS before finalizing the record.

7. Ownership

SmileMaxer LLC and its licensors retain all right, title, and interest in the Software, documentation, trademarks, and related intellectual property. No rights are granted except those expressly stated in this EULA.

8. Termination

This license ends when the trial or subscription ends or if the practice materially breaches this EULA. On termination, the practice must stop using and uninstall the office-desktop Software and remove office enrollment from devices no longer authorized.

9. Disclaimers and liability

The disclaimers, limitation of liability, and governing-law provisions in the Terms of Service apply to this EULA.
